Terms of Service

Baseline Telemetry Advisory is the trading name of the practice.

These Terms of Service ("Terms") govern access to and use of the Baseline Telemetry Advisory website, the Baseline Telemetry Advisory delivery workspace, and advisory engagements delivered directly inside a client's own platforms (together, the "Services") provided by Baseline Telemetry Advisory ("we", "us"). By accessing the Services you agree to these Terms.

Services

Engagements are delivered in one of two modes: Mode A, a private delivery workspace with structured exports (PDF, XLSX, DOCX, ZIP); or Mode B, direct in-platform execution inside the client's own tools (for example Jira, Linear, Vanta, Drata, Secureframe) under scoped, time-bounded access. Paid engagements are governed by a separate Master Services Agreement (MSA), a Statement of Work (SOW), and a Data Processing Agreement (DPA). Where an MSA conflicts with these Terms, the MSA prevails.

Baseline Telemetry Advisory is not a certification body or an audit firm. It does not issue SOC 2 reports or ISO 27001 certificates, and does not warrant the outcome of any audit, certification, or regulatory assessment. Readiness work prepares the client for an assessment carried out by an independent assessor the client appoints.

The Services are offered on a business-to-business basis to companies and their authorised personnel. They are not directed at, marketed to, or intended for use by consumers, and consumer-protection legislation aimed at business-to-consumer contracts (including the EU Consumer Rights Directive and the EU Online Dispute Resolution Regulation) does not apply.

Accounts and security

  • You are responsible for keeping your credentials confidential.
  • Multi-factor authentication is mandatory for every account.
  • You must notify us at support@btadvisory.io of any suspected unauthorised access.

Acceptable use

You must not:

  • Upload unlawful, defamatory, or infringing content.
  • Attempt to gain unauthorised access to the Services or other tenants' data.
  • Reverse-engineer, scrape, or interfere with the Services beyond what applicable law permits.
  • Use the Services to send unsolicited communications.

Intellectual property

Baseline Telemetry Advisory retains all rights, title, and interest in the Services, including the methodology, templates, dashboards, and code, except for content that clients upload into their workspace, which remains the client's property. Deliverables produced under an MSA transfer on the terms set out in that MSA.

Fees

Fees are set out in the applicable Statement of Work or MSA and are exclusive of Value Added Tax (VAT) or any equivalent sales tax, which will be added where applicable. Website access is free of charge. Invoicing queries go to billing@btadvisory.io.

Confidentiality

Each party will keep confidential information disclosed by the other party confidential and use it only to perform the engagement. This clause survives termination.

Warranties and disclaimers

The Services are provided "as is". To the extent permitted by law, Baseline Telemetry Advisory disclaims all implied warranties, including merchantability and fitness for a particular purpose. Advisory output is professional guidance, not legal advice.

Limitation of liability

To the maximum extent permitted by Irish law, Baseline Telemetry Advisory's aggregate liability arising out of or relating to the Services is capped at the fees paid by the client in the 12 months preceding the claim. Neither party is liable for indirect, incidental, consequential, or lost-profit damages. Nothing in these Terms limits liability that cannot be limited under applicable law (including death or personal injury caused by negligence and fraud).

Indemnities

Clients will indemnify Baseline Telemetry Advisory against third-party claims arising from content the client uploads that infringes third-party rights or breaches these Terms.

Termination

Either party may terminate access for material breach that is not cured within 30 days of written notice. On termination, the client may export their data for 30 days, after which we will delete or return it in accordance with the DPA and our retention policy.

Deletion requests are honoured except where law, accountability under GDPR art. 5(2), or a litigation or regulatory hold requires us to keep specific records. Where that applies we tell the client which records we keep and why, hold them in storage only, and delete them once the requirement lapses. See the DPA and the Privacy Policy for detail.

Governing law and jurisdiction

These Terms are governed by the laws of Ireland. The parties submit to the exclusive jurisdiction of The courts of Ireland.

Changes

We may update these Terms; the "Last updated" date reflects the latest version. Continued use of the Services after an update constitutes acceptance.
